1. Who we are
CoreBalance is provided by Alnova Group Limited ("Alnova", "we", "us"), a company registered in England and Wales with company number 16496222, whose registered office is at No.1 Spinningfields, Quay Street, Manchester M3 3JE, United Kingdom. You can contact us at corebalance@alnovagroup.com.
2. These terms
These terms form a contract between Alnova and the business that installs CoreBalance ("you", "the customer"). By installing or using CoreBalance you confirm that you are acting for a business, that you have authority to accept these terms for it, and that you accept them. CoreBalance is a business service and is not offered to consumers.
3. The service
CoreBalance connects to your HubSpot account and produces statements of account and subscription statements from the invoices, payments, line items, subscriptions, companies and contacts held in HubSpot. If you choose to connect Xero, CoreBalance can also read payments recorded there. CoreBalance has read-only access to these systems and does not create, change or delete records in them.
We may improve, change or add features from time to time. We will not make changes that materially reduce the core service during a paid period without telling you first.
4. Subscription required
Installing CoreBalance is free, and you can set up your company details and view your HubSpot customers without paying. Producing statements requires an active paid subscription for the HubSpot account. There is no free trial unless we say otherwise in writing or by a promotion code at checkout.
5. Subscriptions, prices and payment
The plans and prices are shown on our pricing page: £9.99 per month or £84.99 per year, per HubSpot account. Subscriptions are paid in advance by card through our payment provider, Stripe, and renew automatically at the end of each monthly or yearly period until cancelled.
Any taxes that apply will be shown at checkout.
We may change our prices by giving you at least 30 days' notice by email or in the app. A price change applies from your next renewal after the notice period. If you do not agree to it, you may cancel before it takes effect.
If a payment fails, we may suspend access to CoreBalance until payment is made.
6. Cancellation and refunds
You can cancel at any time from Plan & billing in CoreBalance. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then. Payments already made are not refundable, except where the law requires otherwise or where we end the service under section 12 without cause, in which case we will refund any fees paid for the remaining unused period.
7. Your responsibilities
You are responsible for:
- the accuracy of the data in your HubSpot account (and Xero, if connected), which CoreBalance relies on;
- checking each statement before you send it to your customers. CoreBalance presents the data it reads, and a statement is only as accurate as the records it is built from;
- the company details, bank details and payment links you enter, and making sure you are entitled to use any logo or content you upload;
- keeping access to your HubSpot account secure, and the actions of people who use CoreBalance through your account; and
- using CoreBalance lawfully, including complying with data protection law when you send statements that contain personal data.
8. Acceptable use
You must not misuse CoreBalance. In particular you must not try to access data that is not yours, interfere with or overload the service, reverse engineer it except where the law allows, resell it without our written agreement, or use it to send misleading or fraudulent documents.
9. Your data
You own your data. You give us permission to access and process it only as needed to provide CoreBalance to you. When we process personal data on your behalf we act as your processor, as described in our Privacy Policy, which forms part of these terms and includes the data processing terms in its section 4.
10. Our intellectual property
CoreBalance, including its software, design and documentation, belongs to Alnova or its licensors. We give you a non-exclusive, non-transferable right to use CoreBalance for your internal business purposes while your subscription is active. Statements you produce with CoreBalance are yours to use as you wish.
11. Availability and third-party services
We aim to keep CoreBalance available at all times but do not guarantee uninterrupted service. There may be planned maintenance and occasional outages. CoreBalance depends on services we do not control, including HubSpot, Xero, Stripe and our hosting provider. We are not responsible for their availability, or for changes they make that affect CoreBalance, although we will try to keep CoreBalance working with them.
12. Suspension and termination
You can stop using CoreBalance at any time by cancelling your subscription and uninstalling it from HubSpot. We may suspend or end your access immediately if you materially breach these terms, fail to pay, or use CoreBalance in a way that could cause harm or legal liability. We may also stop providing CoreBalance altogether by giving at least 30 days' notice, and will refund any fees paid for the unused period.
When your access ends we will delete your stored data as described in our Privacy Policy.
13. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited by law.
Subject to that, CoreBalance is provided on an "as is" basis, and we exclude all warranties and conditions not expressly set out in these terms, to the extent the law allows. We are not liable for any loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss. We are also not liable for losses arising from inaccurate data in your HubSpot or Xero account, or from statements sent without being checked.
Our total liability to you in any 12-month period for all claims relating to CoreBalance is limited to the fees you paid us in that period.
14. Changes to these terms
We may update these terms. For material changes we will give you at least 30 days' notice by email or in the app. If you continue to use CoreBalance after a change takes effect, you accept the updated terms. If you do not agree, you may cancel before the change takes effect.
15. General
You may not transfer your rights under these terms without our written consent. We may transfer ours to another company that takes over CoreBalance, and will tell you if we do. If any part of these terms is found to be unenforceable, the rest remains in effect. A delay in enforcing these terms is not a waiver. These terms are the whole agreement between us about CoreBalance. No one else has rights under them.
16. Governing law
These terms and any dispute arising from them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
